Notification of Special General Meeting

At the Annual General Meeting held on 28 April, 2022, the members present elected a new Board. An audit of that election has identified that five of the six people nominated for the Board were either nominated by people who were not financial members of the HWC (HWC Constitution Clause 15(1)a) or ineligible to stand for the board (HWC Constitution Clause 15(7)). Subsequently, those elections are invalid.
To rectify this and ensure that governance of the HWC is constitutional and legally binding, I am calling a Special General Meeting of the HWC to elect members to the Board under HWC Constitution Clause 27(1). Ordinarily, the Board could appoint members to fill casual vacancies. As this is a member-based association and only one member remains on the Board it is only appropriate that the members choose their elected representatives through a Special General Meeting. All board positions will be vacated.
The office bearer roles of the association are the President, Vice President, Secretary and Treasurer. Three ordinary committee members are also required. The Board requires a minimum of three members to achieve a quorum at any meeting.
The members present will be required to nominate a Chair for the evening who is not running for election, under HWC Constitution Clause 30(2).
The meeting will be held on Thursday 28th July 2022. A time and venue is to be confirmed. It may be conducted via Zoom.

Nominations are required by 11:59pm on Wednesday 20 July 2022 (HWC Constitution Clause 15(1)b).
